To Tony,
We are writing to inform you that your proposed takeover by Howard-Wirth
Software of Delta Centuries has been rejected by the head of Delta. We
feel that it is not proper for a company that is primarly (sic)
interested in Macintosh software to take over a company more associated
with a wider range of products such as IBM, Amiga and Apple software, as
well as electronics.
However, we put forward a proposal of a merger (not a take over, exactly)
of Howard-Wirth Software and Delta Insoft Australia, a amalgamation of
Delta and Insoft, providing an excellent addition to the currently offered
range by adding Macintosh and HyperCard products.
We feel that this would be an excellent idea, and there is benifit (sic)
for both sides. The details are below:

There would be no IBM division of Howard-Wirth anymore. This would be managed
entirely by DIA, which you (Tony Wirth) are free to contribute to. Therefore,
DIA could pass on Macintosh idas to you, and you could actively be involved
with IBM software development in other DIA subsiduaries.

Howard-Wirth would remain completely independant of DIA, however since
it is possible that Howard-Wirth will draw on technological reserves of
DIA, so we think the DIA should execute some for of control over Howard-Wirth.

Since one of the partners in Howard-Wirth already holds 33% of DIA, it
is felt that we are already halfway to resolving a takeover bid.

If you becomes interested enough in DIA, we are perfectly happy to rearrange
the shareholding and give you a twenty-five percent share in DIA.

Currently Luke Howard has a 33% share of DIA, Joshua Reich 33%, Joshua
Samual 33% and the remaining 1% owned jointly.
We think this is a fair proposal and hope you will accept it. Please notify
us as soon as possiible on your decision. If you do not accept it, then
Howard-Wirth shall remain as it is and DIA will to. (sic) Please
note, however, that DIA currently owns 50% of Howard-Wirth through Luke
Howard, giving a share of approximately 16.5% each.
